Terms of Service & Usage Agreement
Please read these Terms of Service ("Terms") carefully before using the Darbs web application, quantitative indexes, API feeds, or mobile software interfaces.
1.0 AGREEMENT TO TERMS
By accessing, downloading, installing, browsing, or utilizing the Darbs application, website, quantitative dashboard, software interfaces, or REST API endpoints (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Darbs, Inc. ("Darbs", "we", "us", or "our").
If you do not agree to all of these Terms, you are expressly prohibited from accessing or using the Service and must immediately discontinue all use of our applications and API integrations.
2.0 NATURE OF SERVICE & REGULATORY STATUS (NOT FINANCIAL ADVICE - NFA)
- Automated Quantitative Analytics Tool Only: Darbs operates strictly as a quantitative verification engine, data normalization pipeline, and algorithmic market software. Darbs is NOT a registered investment adviser, commodity trading advisor, broker-dealer, financial adviser, or financial institution under any domestic or international regulatory authority (including the US SEC, CFTC, or FINRA).
- Not Financial Advice (NFA): All content, composite index ratings, momentum scores, signals (including LONG, SHORT, or WAIT indicators), options darkpool tracking metrics, social sentiment scores, and analytical outputs generated by Darbs are provided strictly for informational, educational, and research purposes only. Nothing contained within the Service constitutes personalized financial advice, investment recommendations, legal advice, tax advice, or a solicitation to buy or sell any security, stock option, cryptocurrency, or digital asset.
- No Fiduciary or Managed Account Relationship: Accessing Darbs does not establish a fiduciary relationship, financial advisory contract, or portfolio management agreement. Darbs does not execute market orders, manage trading accounts, or hold user funds. All trading decisions are made independently by the user at their sole discretion and risk.
3.0 PUBLIC DATA & ALGORITHMIC INDEXES ("AS-IS" DATA DISCLAIMER)
- Public Market Aggregation: Index ratings (including the Darbs Score composite) are automatically synthesized from publicly available market APIs, exchange tape reports, SEC Form 4 EDGAR filings, option darkpool trades, and social sentiment streams.
- Data Latency & Third-Party API Disclaimers: The Service relies on automated third-party data providers. Darbs makes no representation or warranty regarding the accuracy, completeness, sequence, or timeliness of data feeds. Data packet latency, network outages, or third-party API disruptions may delay or alter index outputs.
- "As-Is" Provision & Historical Model Limitations: Backtested composite scores and historical indicators do not guarantee future market results. The Service is provided strictly on an "AS-IS" and "AS-AVAILABLE" basis without warranties of any kind.
4.0 USER SECURITY, PERMITTED USE & DEVICE INTEGRITY
You are solely responsible for maintaining the security of your device, API keys, and account access credentials. You agree strictly NOT to:
- Reverse-engineer, decompile, disassemble, or attempt to derive the underlying mathematical formulas or source code of the Darbs scoring engine.
- Utilize automated web scraping bots, spiders, or unauthorized crawlers to systematically harvest ratings, raw darkpool flows, or proprietary data feeds without an explicit Enterprise API License.
- Access or attempt to use the Service on jailbroken, rooted, or compromised operating system environments that impair client security boundaries.
- Re-sell, sublicense, or commercially re-distribute Darbs index scores to third-party platforms without prior written authorization.
5.0 THIRD-PARTY INFRASTRUCTURE & CONNECTIVITY
Darbs utilizes secure third-party infrastructure providers, cloud database servers, and telemetry utilities (such as Firebase, analytics frameworks, and encrypted REST endpoints). You acknowledge that network connectivity depends on your mobile carrier, internet service provider (ISP), and hardware performance. Darbs is not liable for data transmission failures, device battery depletion, hardware overheating, or ISP network downtime.
6.0 AI & QUANTITATIVE ENGINE PROCESSING
Darbs incorporates machine learning models, natural language processing (NLP) algorithms, and automated statistical scoring logic to evaluate conversational sentiment and orderflow volume. You explicitly acknowledge that AI systems and quantitative algorithms may produce statistical errors or false positive signals. You assume all risks associated with interpreting or relying upon automated algorithmic output.
7.0 INTELLECTUAL PROPERTY & LICENSING
The Darbs composite index methodology, scoring engine, logos, branding assets, custom interface designs, software code, and data structures are the exclusive intellectual property of Darbs, Inc. protected under international copyright, trademark, and trade secret laws. Subject to these Terms, Darbs grants you a limited, non-exclusive, non-transferable, revocable license for personal, non-commercial research use.
8.0 LIMITATION OF LIABILITY & RISK ACKNOWLEDGMENT
Full Liability Waiver: To the maximum extent permitted by law, Darbs, Inc., its founders, officers, directors, software engineers, and API partners shall NOT be liable for any direct, indirect, incidental, consequential, or punitive damages, including financial trading losses, market slippage, account liquidations, lost profits, or capital losses arising out of your reliance upon or use of the Service.
Financial trading in stocks, options, and cryptocurrencies carries high risk. Never invest or trade with capital you cannot afford to lose entirely.
9.0 UPDATES, TERMINATION & CONTACT INFORMATION
Darbs reserves the right to modify these Terms, update composite algorithm parameters, or terminate service access at any time without prior notice. Continued use of the Service following published updates constitutes binding acceptance of the revised Terms.
